• Vendor contract drafting, review, and negotiations, including marketing agreements, distribution agreements, equipment sale or lease agreements, maintenance and repair agreements, inventory consignment agreements, and other service agreements;

• Forming entities, including for profit corporations, non-profit corporations, and, limited liability companies;

• Buying and selling entities, including mergers, asset purchases, and stock/membership interest purchases;

• Advising and implementing employment and independent contractor arrangements, including employment agreement and consulting agreement drafting, review, and negotiations, preparation of employee handbooks and standard operating procedure manuals, new hire checklists and forms, confidentiality and non-disclosure agreements, staff evaluation forms and processes, and release and separation negotiations and documentation;

• Advising and implementing corporate governance policies, practices, and provisions, including drafting, review, and negotiations of buy/sale provisions, rights of first refusal, other transfer restrictions, options, meeting minutes and resolutions, and document retention programs;

• Preparing and maintaining corporate books;

• Providing risk assessment evaluations and recommendations, often in conjunction with insurance and HR vendors;

• Assisting with franchising and licensing;

• Assisting with regulatory audits and in-house training.
